SnagBite Merchant Pilot & Testing Agreement

This Merchant Pilot & Testing Agreement ("Agreement") is entered into between SnagBite LLC ("SnagBite") and the business that agrees to participate in the SnagBite pilot program (the "Merchant"), for the purpose of participating in a limited test of the SnagBite marketplace platform.

Merchant accepts this Agreement by signing it, by confirming acceptance in writing (including by email), or by registering a merchant account and listing products as part of the pilot. Each of those actions has the same effect.

This Agreement covers the pilot only. It supplements, and does not replace, the SnagBite Terms of Service and Privacy Policy, which continue to apply to Merchant's use of the platform. If a term of this Agreement conflicts with the Terms of Service with respect to the pilot, this Agreement controls for the duration of the pilot.

1. Purpose of the Pilot

SnagBite is testing its mobile marketplace, including merchant registration, product listing, ordering, payment, pickup, and payout processes.

Merchant agrees to participate as a test merchant by registering a merchant account, listing one or more actual products, accepting one or more test orders, and providing reasonable feedback regarding the experience.

Transactions conducted during the pilot may involve real products, real payments, and real merchant payouts.

Participation in this pilot does not obligate Merchant to continue using SnagBite after testing is completed.

2. Independent Merchant — No Partnership

Merchant is an independent business participating on the SnagBite platform.

Nothing in this Agreement or in Merchant's participation in the pilot creates, or shall be interpreted as creating, a:

Merchant does not acquire any ownership, equity, partnership, or other financial interest in SnagBite LLC or the SnagBite platform by participating in this pilot.

Neither party has authority to enter into agreements, make commitments, incur obligations, or otherwise act on behalf of the other party.

Merchant shall not represent itself as a partner, co-owner, investor, employee, agent, or authorized representative of SnagBite.

3. Merchant Products and Operations

Merchant remains solely responsible for its own business operations and for the products it lists and sells through SnagBite. This includes responsibility for:

SnagBite provides the technology platform through which products may be listed, discovered, purchased, and processed. SnagBite does not prepare or manufacture Merchant's food or products.

4. Test Transactions and Payments

As part of the pilot, SnagBite representatives or other authorized testers may purchase Merchant's listed products using actual payment methods. These transactions may involve real money and actual products.

Merchant will receive the applicable proceeds from completed transactions through the payment and payout process used by the SnagBite platform and its third-party payment processor.

The parties acknowledge that these transactions are being conducted primarily to test the functionality of the SnagBite platform, including ordering, payment processing, notifications, fulfillment, pickup, and merchant payouts.

A test purchase by SnagBite's owner, employees, representatives, or testers does not constitute an investment in Merchant and does not create a partnership or other ownership relationship between Merchant and SnagBite.

5. Payment Processor

SnagBite may use third-party payment providers, including Stripe, to process transactions and merchant payouts.

Merchant may be required to provide information directly to the payment provider, including business, ownership, identity, tax, and banking information.

Merchant is responsible for ensuring that information provided during registration is accurate and belongs to, or is authorized for use by, Merchant.

SnagBite does not control the payment provider's identity verification, banking verification, payout timing, or other compliance requirements.

6. Testing and Feedback

Merchant is encouraged to provide feedback concerning the SnagBite application, including bugs, usability issues, suggestions, requested features, and other observations.

Merchant grants SnagBite the unrestricted right to use such feedback to develop, modify, improve, market, and operate the SnagBite platform, without compensation or ownership rights arising from that feedback.

Providing an idea, recommendation, feature suggestion, or other feedback does not give Merchant an ownership or intellectual-property interest in SnagBite or in any resulting feature or improvement.

7. SnagBite Ownership and Intellectual Property

SnagBite retains all ownership rights in the SnagBite platform and related technology, including its software, source code, designs, workflows, trademarks, logos, graphics, documentation, concepts, and other intellectual property.

Participation in the pilot does not transfer any SnagBite intellectual property or ownership rights to Merchant.

Merchant receives only the limited right to access and use the platform for purposes of participating in the pilot.

8. Merchant Name and Branding

Merchant retains ownership of its business name, trademarks, logos, photographs, product information, and other Merchant-provided content.

Merchant grants SnagBite permission during the pilot to display Merchant's business name, logo, product photographs, listings, pricing, and related information within the SnagBite platform as reasonably necessary to conduct the test.

This permission does not transfer ownership of Merchant's intellectual property to SnagBite.

Neither party may publicly represent the other as a business partner, co-owner, investor, sponsor, or affiliate unless separately agreed to in writing.

9. Confidentiality

During testing, Merchant may encounter features, designs, workflows, pricing concepts, screenshots, business processes, or other information concerning SnagBite that has not yet been released publicly.

Merchant agrees not to intentionally disclose non-public SnagBite information, screenshots, credentials, or testing materials to third parties without SnagBite's permission.

This provision does not restrict information that is already publicly available through no violation of this Agreement.

10. Pilot Platform and Availability

Merchant understands that SnagBite is undergoing testing, and that bugs, errors, interruptions, incorrect notifications, delayed processing, or other technical issues may occur.

Merchant agrees to promptly report significant problems discovered during the pilot so that SnagBite can investigate them.

SnagBite may modify, suspend, reset, or discontinue pilot functionality as reasonably necessary for testing.

11. Term and Termination

This Agreement begins when accepted by both parties and continues through completion of the pilot, unless terminated earlier.

Either party may discontinue participation in the pilot at any time by notifying the other party.

Upon termination, SnagBite may deactivate Merchant's test account and remove its listings from the platform.

Termination does not affect payment properly owed for completed transactions occurring before termination.

12. No Obligation for Future Relationship

Participation in this pilot does not require either party to enter into any future commercial relationship.

Any continued commercial use of SnagBite following completion of the pilot may be subject to SnagBite's then-current merchant terms, fees, commissions, policies, and other applicable agreements.

13. Limitation of Pilot Relationship

The purpose of this Agreement is limited to testing the SnagBite platform and processing legitimate test transactions.

Except for payment properly owed for completed transactions, neither party is entitled to compensation from the other solely because of participation in the pilot.

Merchant acknowledges that participation in the pilot does not create any claim to SnagBite's revenues, profits, ownership, equity, intellectual property, future business, or valuation.

14. Governing Law

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

15. Entire Agreement

This Agreement represents the understanding between SnagBite and Merchant regarding this pilot and supersedes prior oral or written discussions concerning Merchant's participation in the test.

Any modification to this Agreement must be agreed to in writing by both parties.
